Key Definitions
In this Affiliate Agreement (“Agreement”), “We,” “Us,” “Our,” or “Verocall” refers to Verocall and its team. “You,” “Your,” or “Affiliate” means the individual, business, or entity joining our program to promote Verocall services in exchange for commissions on successful referrals.
- “Affiliate Site” is your website, blog, social media, or other online platform where you promote Verocall.
- “Verocall Services” include our daily reassurance calls, monitored check-ins, and related senior care resources available at Verocall.com.
- “Commission” or “Commission Fees” are the earnings you receive for each qualifying referral that results in a paid subscription, as outlined in this Agreement.
- “Qualifying Purchase” is a paid subscription to Verocall Services for at least one month, made by a Referred Customer who meets all our criteria.
- “Referred Customer” is a new customer who signs up via your unique affiliate link and meets our validation requirements.
- “Signup Form” is the online form or process a Referred Customer uses to subscribe to our services.
1. Joining the Program
To join, simply complete our Affiliate Signup Form. We’ll review your application promptly and in good faith, letting you know if you’re approved. We may decline applications if we feel your site or approach isn’t a good fit—our goal is to partner with affiliates who share our values of care and trust. If declined, please note that reapplying isn’t permitted. We reserve the right to make these decisions at our discretion and may or may not notify you of the reasons.
2. Promoting Verocall
Once approved, we’ll provide you with approved links, banners, and text (collectively, “Links”) to connect your audience to Verocall.com. These Links track referrals for commissions on Qualifying Purchases. You’ll agree to use only these provided materials and place them prominently where they make sense on your site.
Please cooperate with us to ensure Links work properly. Any content about Verocall on your site must be accurate and approved by us in writing beforehand. You’re not authorized to use our trademarks, logos, or any similar terms without explicit permission—except as allowed here. This includes avoiding any use in domain names, search ads, metatags, or anything that could confuse people into thinking you’re us.
Unauthorized use could lead to legal issues, including infringement claims, and we’d have to enforce our rights. We may update Links as needed, with your agreement. No posting refunds, discounts, or unapproved promotions—stick to what’s provided through the program. Violations could mean termination or withheld commissions.
3. Complying with FTC Guidelines
We take transparency seriously. You must follow FTC rules, like disclosing your affiliate relationship clearly (e.g., “I earn a commission if you sign up through my link”). This applies to reviews, blogs, emails, and more. Check out the FTC’s guides for details:

4. Handling Signups and Orders
We’ll manage all orders from Referred Customers who click your Links. This includes processing, billing, and support. We can reject orders that don’t meet our standards. You’ll have access to tracking via your affiliate dashboard for clicks and potential Qualifying Purchases. Ensure Links are formatted correctly for accurate tracking.
5. How Commissions Are Determined
You earn commissions only on Qualifying Purchases that meet these strict criteria:
- The Referred Customer is new to Verocall, provides valid info, and completes signup via your Link.
- They remain an active, paying customer for at least 30 days without refunds, cancellations, or chargebacks.
- The referral is clearly tied to you, without any signs of fraud.
We may hold initial commissions for new affiliates to verify legitimacy. If we suspect fraud, improper activity, or breaches, we can suspend, deny, or reverse commissions. This includes fake info, altered Links, or unethical marketing. You have 30 days to question a denied commission; our decisions are final. Excessive cancellations could lead to withheld earnings. Fraud attempts mean immediate termination and forfeiture of commissions.
6. Commission Structure and Payouts
Earn 15% on the monthly subscription value of each Qualifying Purchase—for the first 12 months the Referred Customer stays active. Commissions adjust if they upgrade/downgrade. No commissions after 12 months or if the account ends.
Payouts happen 15-30 days after month-end, once you hit $50 in accrued commissions and provide tax/address info. We pay via Zelle or ACH in USD. Update your profile for changes—allow time for processing. Disputes must be raised within 45 days of the event.
7. Taxes and Updates
Submit a W-9 form (available here) for payouts. You’re responsible for all taxes on earnings; we’ll issue 1099s as required. Keep your contact and tax info current—update at least 15 days before month-end. No info within 90 days of a Qualifying Purchase means no commission.
8. Tracking Reports
Log into your dashboard anytime for real-time stats on clicks and potential Qualifying Purchases. Note: These are preliminary until we verify they meet all criteria.
9. Your Site Responsibilities
You’re in charge of your site’s content, operation, and compliance. Ensure all Verocall mentions are accurate, non-infringing, and legal. We may monitor for adherence and terminate if needed. We disclaim liability for your site’s issues.
10. Our Responsibilities
We’ll supply Link materials, handle order tracking, and manage all customer interactions. Our decisions on these are final unless clearly erroneous.
11. Policies and Pricing
Referred Customers follow our standard rules, which we can update anytime. Prices may change; don’t promise specifics without approval. By joining, you agree to our Terms of Use and Privacy Policy.
12. Marketing and Publicity
No spam or unsolicited bulk emails without our written approval per mailing. Emails must go only to opted-in contacts. Violations breach anti-spam laws and this Agreement, leading to termination and forfeited commissions. Excessive activity may trigger review.
13. Logos and Trademarks
We grant a limited, revocable license to use approved Verocall logos and materials only for promoting our services. No alterations or negative use. You grant us a license to use your trademarks for promotion. Licenses end with the Agreement.
14. Agreement Term
This Agreement starts on approval and ends when either party terminates (with or without cause). Commissions stop accruing on termination; final payouts only for valid pre-termination Qualifying Purchases. Violations forfeit all earnings.
15. Changes to the Agreement
We may update terms anytime, effective on posting. Continued participation means acceptance. If unacceptable, terminate.
16. No Warranties
We offer no guarantees on program performance, site uptime, or anything else. We’re not liable for interruptions or tracking issues.
17. Our Relationship
We’re independent contractors—no partnership or agency. You can’t bind us or make promises on our behalf.
18. Your Promises
You confirm this Agreement is binding, doesn’t conflict with laws or other deals, and your site content is appropriate. Referrals must be genuine; you’re at least 18.
19. Liability Limits
No liability for indirect damages. Our total liability caps at commissions paid to you in the prior 3 months.
20. Indemnity
You’ll cover us for losses from your trademark issues, breaches, or site-related claims.
21. Keeping Things Confidential
Business info stays private unless public or required by law.
22. Your Review
You’ve read and agree to these terms independently. We may partner with others on different terms.
23. Governing Law
California and U.S. laws apply. Disputes go to Santa Cruz County, California courts.
